Legal Notice (Imprint)
What changed: non-material update: address and telephone filled in, English and French; a lawyer note on the address type added.
DRAFT for attorney review. Not legal advice, and not a statement of compliance.
Part 1 is the public imprint page, published at /legal/legal-notice, in English and French. Part 2 is the storefront audit for selling into the EU and UK: the order button, pre-contract information, the withdrawal form, price and review rules, geo-blocking, language, dispute handling, and the two regulations on the radar. Where Part 2 requires something at checkout, the Subscription Terms Part B carries the build item.

Part 2 — Storefront rules for selling into the EU and the UK
Framing. EdgeQuote sells to businesses, and every customer confirms that at signup. Most of the rules below protect consumers and would not strictly apply. They are met anyway, for three reasons: the cost is a few sentences; the status of a sole-trader contractor is exactly the thing a regulator or a competitor's lawyer will probe; and Germany's competition-law enforcement (paid cease-and-desist letters, Abmahnungen, under the UWG) can be triggered by a missing imprint or a wrong button label regardless of who the customers are.
1. Which countries require which imprint fields
| Field | France (LCEN art. 6-III) | Germany (DDG §5, ex-TMG §5) | Austria (ECG §5; UGB §14) | Switzerland (UWG art. 3(1)(s)) |
|---|---|---|---|---|
| Name and legal form | Yes (natural person: name) | Yes | Yes | Yes |
| Geographic address | Yes | Yes | Yes | Yes |
| Yes | Yes | Yes | Yes | |
| Telephone | Yes | Yes (direct communication) | Recommended | Recommended |
| Register and number | Yes if registered (RCS/RM) | Yes if registered | Yes if registered; supervisory authority for regulated trades | Yes if registered |
| VAT ID | Yes, where held | Yes, where held | Yes, where held | Yes, where held |
| Director of publication | Yes (natural person) | Only for journalistic content | No | No |
| Hosting provider with address and telephone | Yes | No | No | No |
| Dispute-resolution statement | Consumer mediator (if B2C) | Yes (VSBG §36 declaration) | Yes (AStG) | No |
| Regulated-profession details | If applicable (no) | If applicable (no) | If applicable (no) | If applicable (no) |
Part 1 above contains every field in the union of those columns. The French version is required by the Loi Toubon for a service that addresses French users (see §6).
2. The order button and the final screen
Under the Consumer Rights Directive (2011/83/EU, Art. 8(2)) the button that places the order must be labelled so that the consumer explicitly acknowledges an obligation to pay; a plain "Continue", "Subscribe" or "Submit" does not do it, and in Germany (BGB §312j(3)–(4)) a contract concluded through a non-compliant button is not binding on the consumer. Compliant labels:
- English: "Subscribe and pay USD [X]/month" (or "Order with obligation to pay").
- French: "S'abonner et payer [X] $/mois" (or "Commander avec obligation de paiement").
- German (if a German interface is ever added): "Zahlungspflichtig bestellen".
Immediately before that button, on the same screen and clearly separated from other content, the following must appear (Art. 8(2), cross-referencing Art. 6(1)(a), (e), (o), (p)): the main characteristics of the Service; the total price including taxes, or how it is calculated, and that it recurs monthly; the duration of the contract (month-to-month, renewing until cancelled) and the conditions for terminating it; and the minimum duration of the consumer's obligations (none beyond the current month). The Subscription Terms Part B, items 1, 4 and 5, build this.
3. Pre-contract information (CRD Art. 6; UK CCRs 2013 Sch. 2)
Every item and where it is delivered, so that nothing is missing:
| Required information | Where |
|---|---|
| Main characteristics of the service | Landing page; checkout summary |
| Trader identity, geographic address, telephone, email | This Legal Notice; checkout footer |
| Total price incl. taxes, or the manner of calculation; recurring charges | Checkout; Subscription Terms A1–A3; tax-and-invoicing §7 |
| Arrangements for payment and performance | Subscription Terms; Terms §4 |
| Right of withdrawal: conditions, time limit, procedure, model form | Refund Policy §7; this document §4 |
| Loss of withdrawal right on full performance with express consent | Checkout checkbox (Subscription Terms B5); Refund Policy §7 |
| Cost of using distance communication (none) | n/a |
| Duration; conditions for terminating an open-ended contract | Subscription Terms A2, A7 |
| Functionality and interoperability of digital content | Terms §2; the install page |
| Complaint handling and out-of-court redress | Terms §15; this document §7 |
| Legal guarantee of conformity | Disclaimers §9; Refund Policy §7 |
4. Model withdrawal form and express-waiver wording
Published here and linked from the Refund Policy, as CRD Annex I(B) requires:
Model withdrawal form (complete and return this form only if you wish to withdraw from the contract) To: Beyond the Edge Studio,
[address], sebastien@beyondtheedgestudio.com I/We (\*) hereby give notice that I/We (\*) withdraw from my/our (\*) contract for the provision of the following service: EdgeQuote subscription Ordered on (\*)/received on (\*): ______ Name of consumer(s): ______ Address of consumer(s): ______ Signature of consumer(s) (only if this form is notified on paper): ______ Date: ______ (\*) Delete as appropriate.
Express request and acknowledgment (the checkbox at checkout, Subscription Terms B5): "I ask EdgeQuote to start my subscription now, during the 14-day withdrawal period. I understand that once the service has been fully performed I lose my right to withdraw, and that if I withdraw before then I pay a proportionate amount for the service supplied." (CRD Art. 16(a) and Art. 14(3); Code de la consommation L221-25 and L221-28 1°.)
5. Prices, discounts and reviews
- Price reductions (Directive 98/6/EC Art. 6a, as amended by the Omnibus Directive; France art. L112-1-1 Code de la consommation; UK DMCC Act 2024): any announcement of a price reduction must state the lowest price applied in the 30 days before the reduction. A strike-through price must be one actually charged. There is no discount today; if one is introduced, the pricing page shows "Was USD X (lowest price in the last 30 days), now USD Y".
- Personalised pricing based on automated decision-making must be disclosed before the order (CRD Art. 6(1)(ea)). We do not do it; if we ever did, the checkout would say so.
- Consumer-facing prices are VAT-inclusive; B2B pages show net prices with "excl. VAT" stated next to the price (tax-and-invoicing §7).
- Reviews (UCPD Art. 7(6); France L121-4 and D111-17 et seq.; UK DMCC Act Sch. 20): if we ever display customer reviews we must state whether and how we ensure they come from real customers. Proposed wording for that day: "Reviews are from EdgeQuote customers with an active or past paid subscription, verified against our billing records. We show every review we receive, positive or negative, and we do not edit them beyond removing personal data." Until a verification process exists, no reviews are displayed. Fake or commissioned reviews presented as organic are a blacklisted practice (UCPD Annex I points 23b, 23c).
6. Geo-blocking and language
Geo-blocking Regulation (EU) 2018/302. For an electronically supplied service we may not, within the EU, refuse to sell, apply different terms, or redirect a customer because of their nationality, residence or place of establishment, except where a difference is required by law (VAT is the permitted difference). We sell on the same terms to every member state. If we ever chose not to serve a member state, the block would have to be for a lawful reason, not convenience.
Language. France's Loi Toubon (loi n° 94-665, art. 2) requires information addressed to the public, including advertising and contractual information, to be in French. Practical minimum, and what exists: the estimator, the Homeowner Notice, the deletion procedure, the imprint and the withdrawal form are in French; checkout for French-locale customers will carry the French tax and order-button wording; the Terms, Privacy Policy and DPA are in English, which is customary for B2B software and is [DECISION — proposed default: keep the long documents in English and add a one-page French summary of the Terms ("Résumé des conditions") before launch to France]. Quebec's Charter of the French Language (as amended by Bill 96) requires French for consumer contracts and for contracts of adhesion generally unless the parties expressly agree otherwise; a Quebec Contractor would need at least a French version offered.
7. Dispute handling and mediation
- The EU ODR platform no longer exists (discontinued 20 July 2025 under Regulation (EU) 2024/3228). No link to it may appear anywhere; a link to a dead platform is itself a defect.
- France. A professional selling to consumers must offer a consumer mediator (Code de la consommation art. L612-1) and name them in its terms and on its site. EdgeQuote sells to businesses, so this does not apply as such; because a sole-trader Contractor's status could be argued,
[DECISION — proposed default: designate a listed consumer mediator before launch to France, e.g. one of the mediators approved by the CECMC, and name them here; cost is a small annual fee]. The Terms (§15) then say that a consumer may refer a dispute to that mediator free of charge before or instead of arbitration. - United Kingdom. ADR is voluntary for this sector; a trader that cannot resolve a consumer complaint must tell the consumer whether it is willing to use ADR and name a certified body (ADR Regulations 2015, reg. 19). Proposed statement: "If we cannot resolve your complaint, we are willing to use the services of
[a certified ADR body — PLACEHOLDER]." - Germany. The VSBG §36 declaration is in Part 1 ("neither obliged nor willing"), which is the standard position for a B2B service.
- Everyone. The Terms' arbitration clause carves out mandatory consumer law and small claims; the mediation routes above sit before it.
8. Radar: two regulations to watch
EU Cyber Resilience Act (Regulation (EU) 2024/2847). Applies to "products with digital elements" placed on the EU market: software and hardware products, including their remote data-processing components. Pure SaaS is outside scope (Recital 12) unless it is a remote data-processing solution that a product depends on. EdgeQuote is SaaS; the embed script is a component of the SaaS, not a product placed on the market in its own right. Our position: not in scope. Reporting obligations for in-scope products begin 11 September 2026 and full obligations 11 December 2027; re-check if EdgeQuote ever ships installable software.
EU Data Act (Regulation (EU) 2023/2854), Chapter VI — switching between data-processing services. Applies to SaaS providers from 12 September 2025, without a size exemption. Our contract with EU customers must contain the switching terms of Art. 25: the right to switch or move to on-premises with a maximum two-month notice period; a transitional period of 30 days (extendable once if technically unfeasible); a full export of all exportable data in a structured, commonly used, machine-readable format; assistance to the customer; retrieval possible for at least 30 days after the transition ends; and, from 12 January 2027, no switching charges (only reduced charges before that). Fixed in this run: Terms §10 now contains a Data Act switching clause with those terms. Contractors get a CSV export of leads at any time and their configuration on request; there is no functional-equivalence duty for SaaS (Art. 30(3)).
NOTES FOR YOUR LAWYER
- Telephone number. France and Germany require one on the imprint. The owner has not supplied one; a business VoIP number is the usual answer.
- Hosting provider's telephone (LCEN). Vercel does not publish one; confirm whether "an address and a contact URL" is accepted in practice or whether a hosting-provider phone number must be sourced.
- French Toubon position (§6) and the proposed one-page French summary of the Terms; confirm the minimum for a B2B service with a French estimator.
- Consumer mediator (§7): confirm whether to designate one pre-emptively.
- VSBG §36 declaration wording; confirm "neither obliged nor willing" is right for a B2B service that a consumer might nonetheless buy.
- Data Act clause: confirm the Terms §10 clause meets Art. 25(2) in full, and confirm that switching charges are already zero (we charge none) so the 2027 date is moot.
- CRA scope: confirm "pure SaaS, not in scope" given that a JavaScript embed is delivered to third-party sites.
- Geo-blocking: confirm that not offering a German-language interface is not "different conditions of access".
Added 2026-09-07 — the address. The address now shown is the studio's registered business address on every Beyond the Edge product and its own website; it is a commercial mail-receiving agency box ("PMB"). Confirm that a PMB satisfies the "address" requirements of LCEN art. 6-III-1 and DDG §5(1) no. 1, which some German courts read as a physical address at which service can be effected; if not, the owner adds a service address.
WHAT THIS DOES NOT COVER
- Consumer sales; EdgeQuote sells to businesses and the consumer rules are met defensively.
- Any member state's rules beyond France, Germany, Austria and Switzerland for the imprint.
- The BTE studio website's imprint, which is separate and frozen.
- Product-safety, packaging or WEEE rules; no goods are sold.
