[EFFECTIVE WHEN BILLING LAUNCHES — as at 2026-09-06 EdgeQuote has no payment integration. Part A is the customer-facing text that forms part of the Terms of Service (Section 4) once billing exists. Part B is the build specification the developer must implement before a single card is taken. Every figure marked PROPOSED DEFAULT is the drafter's choice of the safest common practice and must be confirmed by the owner.]

Part A — Subscription Terms (customer-facing)

These Subscription Terms form part of the Terms of Service and, together with the Refund Policy, govern how EdgeQuote is billed.

A1. The plan

EdgeQuote is sold as one monthly plan, billed in advance: [PLACEHOLDER — plan name and price, e.g. "EdgeQuote, USD ___ per month"]. [PLACEHOLDER — if an annual option is offered: "or USD ___ per year, billed in advance", and whether it is discounted.] Setup of your estimator is included in the plan. Prices exclude tax (Terms, Section 4).

A2. It renews automatically until you cancel

Your subscription renews automatically at the end of each billing period, and your payment method is charged the then-current price for your plan, until you cancel. You will see this, and agree to it separately, before you pay (Section A3), and we repeat it in your confirmation email (Section A5).

A3. What you are shown, and what you agree to, before you pay

Before any charge is made, the checkout shows you, on the same screen as the payment button and in plain words: the price; the billing period; that the subscription renews automatically until cancelled; the date of the first charge and of each renewal; any trial and when it ends and converts to a paid plan; and how to cancel. You then give separate, affirmative consent to the automatically renewing charge by ticking a box that is unticked by default and is not part of the general acceptance of the Terms.

[Disclosure before purchase, separate consent, and the "unconditional gift" consequence of getting it wrong: US Restore Online Shoppers' Confidence Act, 15 U.S.C. §8403; California Bus. & Prof. Code §§17602–17603; and the equivalent statutes listed in NOTES FOR YOUR LAWYER.]

A4. Free trial — [PLACEHOLDER]

[PLACEHOLDER — one of: "There is no free trial." / "Your subscription starts with a __-day free trial. We take your payment method at signup but charge nothing until the trial ends on the date shown at checkout and in your confirmation email; if you do not cancel before then, the paid plan starts and you are charged USD ___. We email you __ days (PROPOSED DEFAULT: 3) before the first charge with a one-click cancellation link."]

A5. Your confirmation

Straight after you subscribe we email you a confirmation that repeats the price, the billing period, the automatic renewal, the first and next charge dates, any trial end date, the cancellation method, and a copy of (or a link to) these Terms as they stood when you subscribed. Keep it; it is your record and ours.

A6. Renewal reminders

  • Annual plans (if offered): we email you a reminder 30 to 45 days before each renewal [PROPOSED DEFAULT — satisfies both California's 15-to-45-day and Vermont's 30-to-60-day windows], stating the price, the renewal date and how to cancel.
  • Monthly plans: each charge is confirmed by an emailed receipt showing the amount, the period, and the cancellation link. [PROPOSED DEFAULT — no statute requires a reminder before each monthly renewal, but the receipt makes every charge visible.]
  • Trials and promotional prices: you are reminded before the first full-price charge, as Section A4 says.

A7. Cancelling

You may cancel at any time from your dashboard (Billing → Cancel subscription) or by email, as the Refund Policy describes. Cancelling online takes no more steps than subscribing did, needs no phone call, no chat, and no reason. We may show you one offer to stay (for example a discount) on the way, but the cancellation button remains on the same screen and works without accepting anything. Cancellation takes effect at the end of the current paid period and we confirm it by email.

A8. Failed payments

If a renewal payment fails, we email you and retry for 7 days [PROPOSED DEFAULT]. If it still fails, we suspend the Service until you update your payment method, and we cancel the subscription 30 days [PROPOSED DEFAULT] after the first failure. Suspension does not delete your data; Section 11 of the Terms governs deletion. You may update your card at any time from the dashboard.

A9. Price changes

We may change the price of your plan with at least 30 days' notice by email, stating the new price, when it applies, and how to cancel. The new price applies from the first renewal after the notice period. If you do not want to pay it, cancel before then and you pay nothing further.

A10. No prepaid credits, tokens or gift cards

EdgeQuote does not sell prepaid credits, packs, tokens, or gift cards, and holds no stored value for anyone. If that ever changes, these Terms must be updated first (see NOTES FOR YOUR LAWYER, note 6).

A11. Consumers in the EU and the UK

EdgeQuote is sold to businesses. If you are nonetheless a consumer under the law of an EEA country or the UK, you have the 14-day withdrawal right described in the Refund Policy, Section 7, the pre-contractual information in Section A3 is given to meet the Consumer Rights Directive (2011/83/EU, Arts. 6 and 8) and the UK Consumer Contracts Regulations 2013, and nothing in these Terms removes any right your national law gives you.

Part B — Checkout disclosure checklist (developer specification)

Every item below must be true before billing goes live. Each is written as a test. Items marked [CA] are the ones whose absence makes the service an unconditional gift under California law; items marked [VT] are Vermont's stricter rule; items marked [EU] are the EU/UK consumer rule.

Before payment

  1. The plan screen and the payment screen each show, adjacent to the payment button and without scrolling, in a font no smaller than the surrounding text: the price; the billing period ("per month"); the words "renews automatically until you cancel"; the first charge date; the renewal date; and a link to these Subscription Terms. [CA §17602(a)(1)] [VT] [EU Art. 8(2)]
  2. If there is a trial: the trial length, the exact date it ends, the amount that will then be charged, and that a payment method is taken now. [CA §17602(a)(1)]
  3. A separate checkbox, unticked by default, whose label reads: "I understand that my subscription renews automatically each [month/year] at [price] until I cancel, and I authorise EdgeQuote to charge my payment method on each renewal." Ticking the general "I agree to the Terms" box does not tick this one, and the payment button is disabled until both are ticked. [CA §17602(a)(2)] [VT (separate acceptance)] [ROSCA §8403(2)]
  4. The payment button is labelled with words that make the obligation to pay unmistakable: "Subscribe and pay [price]/month" (never "Continue" or "Submit"). [EU Art. 8(2) "order with obligation to pay"]
  5. Where the customer is in the EEA or the UK, the payment screen also contains: the trader's identity and geographic address (from the Legal Notice); the main characteristics of the service; the total price including tax or how it is calculated; the duration and the minimum duration of obligations; the existence and conditions of the withdrawal right; and a separate checkbox: "I ask EdgeQuote to start my subscription now. I understand that once the service has been fully performed I lose my right to withdraw." [EU Art. 6(1), Art. 16(a); UK CCR regs. 13 and 36]
  6. The tax shown is the tax that will be charged, computed from the customer's country and VAT number where given (see tax-and-invoicing.md). No "plus applicable taxes" surprise after the button.

At the moment of payment

  1. The acceptance is recorded: timestamp, the account, the version identifier of these Subscription Terms and of the Terms of Service, the exact checkbox labels shown, and the hashed network address. See evidence-and-acceptance.md.
  2. Card entry happens in Stripe's hosted or embedded element; no card number ever reaches our servers or logs.

Immediately after payment

  1. A confirmation email is sent within minutes containing: price; billing period; "renews automatically until you cancel"; first and next charge dates; trial end date if any; the cancellation method with a direct link to the cancellation page; and a link to (or a copy of) the Terms and these Subscription Terms as accepted. The email is retained on the account. [CA §17602(a)(3)] [ROSCA §8403(2)] [EU Art. 8(7)]

Ongoing

  1. Every charge produces an emailed receipt with amount, period, and the cancellation link.
  2. For any plan with a term of one year or longer, an automated reminder is sent 30 to 45 days before renewal containing price, date, and cancellation link. [CA §17602(b)(2)] [VT 9 V.S.A. §2454a]
  3. For any trial or promotional price, a reminder is sent 3 days [PROPOSED DEFAULT] before the first full-price charge, with a one-click cancellation link. [CA §17602(b)(1) for trials over 31 days; applied to all trials]
  4. A price increase triggers an email at least 30 days before it applies, stating the new price, the date, and how to cancel. [CA §17602(c)(2) material change] [several states]

Cancellation

  1. Billing → Cancel subscription is reachable from the dashboard navigation in at most two clicks, works without contacting anyone, and the number of screens to cancel is not greater than the number of screens to subscribe. [CA §17602(d)] [ROSCA §8403(3)]
  2. At most one retention offer may be shown, on a screen that also contains the cancellation button; declining the offer is not a separate step. [CA §17602(d)(2)]
  3. Cancellation is confirmed on screen and by email, with the date access ends. Access continues to the end of the paid period; no further charge is made; the subscription record shows the cancellation timestamp.
  4. Email cancellation ("Cancel" in the subject line, from the account email) is processed within one business day and confirmed the same way.
  5. Where German consumers could be customers, a "Verträge hier kündigen" button is present on the site, reachable without login, leading to a cancellation form (BGB §312k). [PROPOSED DEFAULT — implement, since the dashboard button plus email satisfies the spirit but §312k specifies a public button. Confirm whether B2B-only sales make this unnecessary.]

Failed payments and dunning

  1. On a failed renewal: an email the same day; Stripe Smart Retries for 7 days; suspension (read-only dashboard, estimator continues to work) after the retry window; cancellation after 30 days; an email at each stage with the link to update the card. No data deletion is triggered by non-payment alone.

Records

  1. All of the above is logged so that, for any account, we can produce: what was shown at checkout, what was ticked, when, the confirmation email, every receipt, every reminder, and the cancellation record. Retention follows the Privacy Policy, Section 9.

NOTES FOR YOUR LAWYER

  1. Strictest rules applied, deliberately, to everyone. Most US automatic-renewal statutes protect "consumers", and EdgeQuote sells to businesses, so many of them may not strictly apply. We comply with all of them anyway: the cost is a checkbox and three emails, and the benefit is that the acceptance record is unimpeachable in a chargeback or a dispute over whether a Contractor was really a consumer. The strictest individual rules, which drive the checklist, are California (Bus. & Prof. Code §§17600–17606: disclosure, separate consent, confirmation, easy online cancellation, and the unconditional-gift remedy) and Vermont (9 V.S.A. §2454a: separate acceptance and a 30-to-60-day reminder for terms of a year or more). New York (GBL §527-a), Illinois, Delaware, Colorado, Oregon, Idaho, Virginia and the District of Columbia have similar statutes; none is stricter than the two applied. Confirm the list is current.
  2. Federal rule status. ROSCA (15 U.S.C. §§8401–8405) is the operative federal law. The FTC's 2024 amended Negative Option Rule ("click-to-cancel") was vacated by the Eighth Circuit in July 2025; the checklist meets it anyway in case it is re-adopted. Confirm status at launch.
  3. Nevada has no comparable statute as at drafting. Confirm nothing has been enacted.
  4. EU and UK. Items 4 and 5 implement the Consumer Rights Directive's "order with obligation to pay" and pre-contractual information duties, and the express-request-and-acknowledgment mechanism for starting a service within the withdrawal period. The UK's Digital Markets, Competition and Consumers Act 2024 introduces a specific subscription-contract regime (pre-contract information, reminder notices, easy exit); confirm its commencement date and whether it changes anything in Part B. Germany's cancellation button (item 18) applies to consumer contracts concluded online; confirm whether to implement it for a B2B product.
  5. Retention offer (item 15). California permits a discount offer during cancellation only if it does not obstruct. The one-screen rule in item 15 is the conservative reading. Confirm.
  6. No stored value. Section A10 states that EdgeQuote sells no credits, tokens or gift cards, so state gift-card law (for example Cal. Civ. Code §1749.5, which bans expiry dates on gift cards) and unclaimed-property (escheat) rules do not apply. If prepaid credits are ever introduced, they may be a "gift card" in the legal sense depending on structure, and expiry, dormancy fees and refund terms become restricted; that requires a fresh review before launch.
  7. Landing page consistency. The public landing page already says "One monthly plan" and "Cancel any month". Part A matches. If an annual plan is added, update both.
  8. Every figure is a PROPOSED DEFAULT: 7-day retry, 30-day cancellation for non-payment, 30-to-45-day annual reminder, 3-day trial reminder, one retention offer. Confirm each.

WHAT THIS DOES NOT COVER

  • The prices themselves, which are placeholders.
  • Stripe's own terms, which govern the card transaction.
  • Tax computation, which is in tax-and-invoicing.md.
  • Any plan sold through a reseller or an app store (none exists).
  • The BTE studio's own client-services billing, which is separate.
