  22. WHAT THIS DOES NOT COVER

These Terms govern your use of EdgeQuote. They are between you (the Contractor) and Sebastien Vautier, a sole proprietor trading as Beyond the Edge Studio ("we," "us"). Registered address: [PLACEHOLDER — registered business address]. Contact: sebastien@beyondtheedgestudio.com.

1. Agreement

By creating an account, signing in, or publishing an estimator, you agree to these Terms, to the Privacy Policy, to the Acceptable Use Policy, and, where you process personal data of people in the EEA or UK, to the Data Processing Addendum.

EdgeQuote is a business service. You confirm you are using it in the course of a trade, business, craft or profession, and not as a consumer. If you are an individual, you confirm you are at least 18.

If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.

2. The Service

EdgeQuote lets you build an instant-estimate calculator from your own price list, publish it at a hosted address and as an embeddable widget on your own website, and receive the leads it produces by dashboard, email, SMS and webhook. It also produces reports on how the estimator is performing.

What the estimator produces is a price range, calculated by arithmetic from the price sheet you publish and the answers a homeowner gives. It is not a quotation, not an offer, not a survey, and not professional advice. You are solely responsible for the prices, rules, questions, wording, currency, and units you publish, and for every commitment you make to a homeowner on the strength of an estimate.

We may change, add to, or withdraw features. If we withdraw a feature you materially rely on, we will give reasonable notice, and Section 11 sets out what happens then.

3. Your account

Sign-in is by single-use link sent to your email address. You are responsible for the security of that mailbox and for everything done under your account. Tell us immediately at the contact address above if you believe someone else has access.

You are responsible for the accuracy of the notification addresses and mobile numbers you enter, and for having the right to send to them. You may add users to your account; each user you add can see the leads and reports of your account, and you remain responsible for what they do.

Your estimator's public address (its "slug") is fixed once the estimator is created, because changing it would break every embed and printed QR code already in circulation. Ask us if you need it changed.

4. Plans, fees, and billing

[PLACEHOLDER — the entire commercial model. There is no payment processor integrated in the product as at 2026-09-02, so fees are invoiced outside the application. Before publication this section must state: the plans and their prices; the billing period; whether it renews automatically and on what notice; what happens on non-payment; whether there is a free trial and what happens at its end; who bears payment fees; and the currency. Until it does, do not present these Terms to a paying customer.]

Whatever is agreed, the following apply. Fees are exclusive of VAT, sales tax and any other tax, which you pay in addition where it is due. You are responsible for your own tax position, including any VAT due on your own sales to homeowners. We may change prices with at least 30 days' notice by email; a change takes effect at your next renewal and you may cancel before it does.

5. Refunds and cancellation

[PLACEHOLDER — refund policy, tied to the billing model above.]

Where a plan is agreed, you may cancel at any time with effect from the end of the current paid period, and you keep access until then. We do not refund part-periods except where the law requires it or where we have failed to provide the Service.

If you are in the EEA or the UK and, contrary to Section 1, you are a consumer: you have a 14-day right of withdrawal from a paid subscription. If you ask us to begin immediately, you expressly request performance during that period and lose the withdrawal right for service already performed; if you withdraw within 14 days without having used paid features, we refund the payment. Nothing in these Terms removes rights your national law does not allow to be removed.

6. Your data, and your obligations as controller

You own your data. Your price sheets, estimator configuration, business details and lead records are yours. We claim no ownership of them and we do not use your leads for our own marketing or resell them.

For the personal data of homeowners, you are the data controller and we are your processor. That means:

  • You decide what questions to ask, what to do with a lead, and how long to keep it, within the limits the Service enforces.
  • You are responsible for having a lawful basis to hold and to contact every homeowner whose details you receive, and for your own privacy notice, and for obeying the rules on calling, texting and emailing them. The estimator shows a short contact-consent sentence and records when and to which version a homeowner agreed; that is evidence you can use, not a substitute for your own compliance.
  • You must not use the Service to collect health data, financial-account or card data, government identifiers, biometric data, or data from children. It is not built for any of those.
  • You must respond to a homeowner's access, correction or deletion request. Your dashboard lets you act on one directly. If a request reaches us, we will pass it to you and may act on it ourselves where we are required to.
  • Retention is 24 months by default. You may set 1 to 84 months. You cannot switch retention off, and we will not disable it on request.

The Data Processing Addendum governs this relationship in full and prevails over this section on processing matters.

7. Webhooks and destinations you connect

If you configure a webhook, lead data is delivered to the address you specify. You are responsible for that destination, for its security, and for the terms of whoever operates it. We verify the address is a public HTTPS endpoint and refuse internal and reserved network ranges, and we sign what we send, but the destination is outside our control and outside these Terms once delivered.

8. Acceptable use

You must comply with the Acceptable Use Policy. In short: no unlawful, deceptive or infringing use; no publishing prices you do not intend to honour in the way a reasonable homeowner would read them; no scraping, probing, or overloading the Service; no attempt to reach another Contractor's data; no reselling or white-labelling the Service without our written agreement; and no use of the estimator to collect data from people who have not been shown what it is for.

9. Intellectual property

The Service, including its software, design, trade packs, question sets, default pricing structures, documentation and brand, is ours and stays ours. You get a non-exclusive, non-transferable, revocable licence to use it for your own business for as long as your account is in good standing.

You grant us a limited licence to host, process, display and transmit your content solely to operate the Service for you. Your logo and business name may be displayed in your own estimator and in the emails it sends. We will not use your name or logo in our marketing without your written consent.

Feedback you send us may be used without obligation or payment.

10. Confidentiality and portability

Each party will protect the other's non-public information and use it only for the purposes of these Terms. You can export your leads to CSV at any time while your account is active, and we will provide a copy of your data on request for 30 days after termination.

11. Suspension and termination

You may stop at any time. We may suspend or terminate an account immediately for a breach of Section 8, for non-payment after notice, or where we must in order to comply with law or to protect the Service or another user. Where the reason permits, we will tell you first and give you a chance to fix it.

On termination your estimator stops serving, your embeds stop working, and your data is available for export for 30 days, after which it is deleted. Retention deletion of homeowner leads continues to run in the meantime.

If we discontinue the Service entirely, we will give at least 60 days' notice and refund any prepaid, unused fees.

12. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that any estimate is accurate, achievable, or profitable. The numbers come from your price sheet. We do not warrant that email or SMS will be delivered by any third party, that a webhook destination will accept a delivery, or that the Service will be uninterrupted or error-free.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

13. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or lost or mispriced jobs, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Service is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim or [PLACEHOLDER — floor amount, e.g. USD 100].

[PLACEHOLDER — confirm whether a mutual cap is intended, and whether data-protection indemnity claims sit inside or outside it. Many DPAs carve breach-of-DPA liability out of the general cap; this draft does not.]

14. Indemnification

You will defend and indemnify us against claims arising from: your price sheet or the prices you publish; a commitment you made to a homeowner; your use of lead data, including any call, text or email you send; your breach of Section 6 or Section 8; and any claim that your content infringes a third party's rights. We will tell you promptly of any such claim, let you control the defence of it, and cooperate reasonably.

15. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, USA, excluding its conflict-of-laws rules. The exclusive venue is the state and federal courts in Clark County, Nevada, and each party consents to their jurisdiction, except that either party may bring an individual claim in small-claims court and we may seek injunctive relief in any competent court for misuse of the Service or for infringement.

To the extent permitted by law, both parties waive any right to a jury trial and agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding.

If mandatory law in your country gives you rights or a forum that cannot be contracted away, that law prevails over this section for you. For a Contractor established in France or elsewhere in the EU, that includes mandatory local rules; and the GDPR applies to the processing regardless of this clause.

16. Selling into the EU

We sell from the United States. If you are in the EEA or the UK, you are responsible for your own local requirements, including how you present prices to consumers, your own VAT position, and the rules that apply to how you contact homeowners.

17. Claims period

Any claim arising out of these Terms must be brought within one year of the date the claim arose, or it is permanently barred, except where the law forbids shortening the period.

18. Export, sanctions, high-risk use

You may not use the Service in breach of export-control or sanctions law, or from an embargoed territory. The Service is not designed for use where failure could lead to death, personal injury, or severe environmental or property damage, and must not be relied on in that way.

19. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including failure of a hosting, email, SMS or network provider.

20. General

These Terms, the Privacy Policy, the Acceptable Use Policy, the DPA where it applies, and any signed written agreement are the entire agreement between us and supersede prior discussions. If they conflict, a signed written agreement prevails, then the DPA for processing matters, then these Terms.

There are no third-party beneficiaries; a homeowner acquires no rights under these Terms. If any provision is unenforceable, the rest stands. Failure to enforce is not a waiver. You may not assign without our written consent; we may assign to a successor of the business. Notices to you may be sent to your account email address; notices to us go to the contact address above.

We may update these Terms with at least 14 days' notice for material changes, by email or in the dashboard. Continued use after the effective date is acceptance. If you do not agree, cancel before it takes effect.

NOTES FOR YOUR LAWYER

  1. Sections 4, 5 and 13 contain live blanks. There is no payment processor in the product, so the commercial model has never been written down anywhere in the codebase. These Terms cannot be presented to a paying customer until Sections 4 and 5 are completed and the liability floor in Section 13 is set.
  2. Consumer-versus-business classification. Section 1 asserts the Contractor is a business. A sole trader in France may still attract some consumer protections depending on whether the contract falls outside their main field of activity. Confirm whether the B2B classification survives for the smallest customers, because it changes the enforceability of Sections 12, 13, 15 and 17.
  3. Class-action waiver and jury waiver. Enforceable in Nevada between businesses; unenforceable or restricted in several EU jurisdictions and doubtful against a party that turns out to be a consumer. Section 15 carves out mandatory law; confirm the carve-out is wide enough to survive a French court.
  4. One-year claims period (Section 17). Shortened limitation periods are commonly unenforceable in EU consumer contracts and are restricted in some US states. Confirm.
  5. Liability cap versus DPA liability. Section 13 places all liability under one cap. Most Art. 28 DPAs carve out breach-of-DPA and indemnity claims. This draft deliberately does not, so that the decision is made consciously rather than inherited.
  6. The estimate disclaimer is the commercial heart of this document. Section 2 and Section 12 disclaim accuracy of the range. If a homeowner sues a Contractor over a range and the Contractor turns on us, Sections 12, 13 and 14 are what stands in the way. They deserve the closest reading.
  7. Slug immutability (Section 3) is a product constraint presented as a contractual term. Confirm it is not an unfair term where consumer protections apply.
  8. "We will not use your name or logo in our marketing without your written consent" (Section 9) is deliberately stricter than the industry norm and stricter than the sibling EdgeFlow terms. Confirm this is intended, since it forecloses a customer-logo wall.

WHAT THIS DOES NOT COVER

  • The commercial terms themselves. See note 1.
  • Any service-level commitment. There is no uptime guarantee, no support-response commitment, and no service credit in this draft. If one is promised in a sales conversation, it must be added here or in a separate SLA.
  • Reseller, white-label, or agency arrangements, which Section 8 forbids without a separate written agreement.
  • Any relationship between a Contractor and a homeowner, including the contract for the actual work.
  • Insurance, licensing, or bonding requirements applicable to a Contractor's trade in their own jurisdiction.
